1. Seller
METAGYM, s.r.o., K Beranovu 1190/17, 184 00 Praha, Czech Republic. IČ 07015887, DIČ CZ07015887, registered in the Commercial Register kept by the Municipal Court in Prague, file C 293073/MSPH. Contact e-mail: jarda@metagym.cz. Aurio is a brand of METAGYM, s.r.o. (the “Seller”).
2. Subject of the contract
The Seller supplies the Aurio player (hardware) and the Aurio Play service — a music streaming and scheduling subscription for one playback zone. One player runs one zone. The music catalogue consists of works licensed directly by the rightsholders or released under free licenses, so the customer does not pay collective-management fees for the supplied catalogue. The customer remains responsible for any other music played in the venue.
3. Pre-order registration
The form at aurios.cz is currently used to register a non-binding interest in a pre-order. Submitting the form does not create a purchase contract and does not oblige the customer to pay. The Seller uses the provided contact details to reach the customer within a few business days with information about availability, the expected delivery date and a final offer.
4. Order and conclusion of the contract
A binding order is placed after the Seller sends a final offer and the customer confirms it, or through a separate order process described in the offer. Before sending it, the customer can review and correct all entered data. The contract is concluded when the Seller confirms the order by e-mail. The contract is concluded in the Czech or English language and is archived by the Seller; the customer receives the full order confirmation by e-mail.
5. Prices and payment
The indicative price of the player is 4,999 CZK excl. VAT (approx. 6,048.79 CZK incl. 21% VAT) per zone, one-off. The Aurio Play subscription is 299 CZK excl. VAT (approx. 361.79 CZK incl. 21% VAT) per zone per month. The Seller is a VAT payer. Final prices are stated in the offer/invoice. Prices are paid by bank transfer against a tax document (invoice) with a 14-day maturity, unless agreed otherwise. Shipping within the Czech Republic is included. The subscription is billed monthly in advance and can be cancelled by either party to the end of the current billing period.
6. Delivery
Players are expected to be delivered within 30 days of order confirmation unless a different date is agreed. Risk of damage passes to the customer on delivery. Remote setup of locations and zones is performed by the Seller after delivery.
7. Withdrawal within 14 days (consumers)
A customer who is a consumer may withdraw from a distance contract within 14 days of taking over the hardware, without giving a reason, under § 1829 of the Czech Civil Code. To withdraw it is enough to send a notice to jarda@metagym.cz before the period expires. The customer returns the hardware within 14 days of the withdrawal, at their own cost, and the Seller refunds all received payments within 14 days of receiving the returned goods. For the service, the consumer may request that it starts before the withdrawal period ends; in that case the consumer pays a proportional part of the price for the period used. This right does not apply to entrepreneurs purchasing in the course of their business (an IČ stated in the order).
8. Defective performance and complaints
The Seller is liable for defects under §§ 2099 et seq. and, for consumers, §§ 2165 et seq. of the Czech Civil Code. Consumers may claim a defect that appears within 24 months of taking over the hardware. Complaints are made at jarda@metagym.cz and are settled within 30 days. During the subscription, faulty hardware is replaced by the Seller.
9. Out-of-court dispute resolution
A consumer may turn to the Czech Trade Inspection Authority (Česká obchodní inspekce, Štěpánská 44, 110 00 Praha 1, coi.cz) for out-of-court settlement of a consumer dispute, or use the EU online dispute resolution platform. Supervision of personal data protection is exercised by the Office for Personal Data Protection (uoou.cz).
